Terms of Service

1. Services Provided

TechPartners Systems (the "Provider") agrees to provide digital services including but not limited to: Automation (via Zapier/Make), CRM Management (GHL/Systeme.io), Funnel Design, and Lead Generation (the "Services").

2. Client Responsibilities

To ensure successful delivery, the Client agrees to:

Provide necessary access to accounts (GHL, Zapier, Make, etc.).

Ensure all data provided (lead lists, copy, images) is legally obtained.

Review and test all automations/funnels within the "Review Period" (typically 7 days) after deployment.

3. Third-Party Platform Fees

The Client acknowledges that the Provider’s service fees do not include subscription costs for third-party tools (e.g., GHL monthly fees, Zapier task upgrades, or Make.com credits). The Client is responsible for maintaining active subscriptions for these tools.

4. Limitation of Liability

Automations and CRM systems rely on third-party APIs and internet stability.

The Provider is not liable for business losses, lost leads, or missed revenue resulting from API changes, third-party platform outages (e.g., a Meta or Zapier downtime), or accidental data deletion by the Client.

Maximum Liability: In any event, the Provider’s total liability shall not exceed the amount paid by the Client for the specific project in question.

5. Payment Terms

As an unregistered entity moving toward formalization, payments are accepted via [Insert Payment Methods: e.g., GCash, Maya, Wise, or PayPal].

No Refunds: Due to the digital and labor-intensive nature of automation and design, all payments are non-refundable once work has commenced, unless otherwise agreed in writing.

6. Intellectual Property

Upon full payment, the Client owns the specific funnel designs and automation logic built for their account. The Provider retains the right to use screenshots or non-sensitive video walkthroughs of the work for portfolio and marketing purposes, unless a Non-Disclosure Agreement (NDA) is signed.

7. Relationship of Parties

The Provider is an Independent Contractor. This agreement does not create a partnership, joint venture, or employer-employee relationship. The Provider is responsible for their own taxes and government contributions until such time as a formal business entity is registered.

8. Termination

Either party may terminate the project with [Number] days' notice. If the Client terminates early, they agree to pay for all work completed up to the termination date.

9. Governing Law

These terms shall be governed by the laws of the Republic of the Philippines.
